Gillingham & District Angling Association

Constitution of the club

1.The association shall be called “The Gillingham & District Angling Association Ltd.”, (G&DAA) the members of which shall be season ticket holders.

  1. Objectives
    • To promote and protect the angling interests of the club and it’s members
    • To rent, lease, purchase or otherwise obtain and provide fishing rights to be enjoyed equally by all members regardless of gender, age, colour, creed, disability, sexual orientation or religion
  1. To make all waters available to all members of the club and aim to increase the facilities available to members and for the proper persuit of Angling.
    • To develop, encourage and support a flourishing wildlife environment
    • To provide where and when possible access to club waters for those members who experience mobility issues.
    • To promote encourage and assist juniors to be involved in angling, and the angling clubs activities.

MEMBERSHIP

  1. Those requesting club membership shall complete an on line Membership Form (on the clubs Clubmate site) and payment. Any such membership will be at the discection of the Committee.
  1. The annual rates of subscription are shown on the Gillingham & District Angling Association on our Clubmate website pagesand may change after agreement at the Annual General Meeting.
  1. Membership shall run 12 monthly from the date the subscription is paid.
  1. Membership categories are currently as follows:
  • No fee junior (13 years and under)
  • Junior (14 to 17 years)
  • Senior (18 to 65 years)
  • OAP (over65 years)
  • Disabled
  • River ONLY
  • Lodden Lakes (Night ticket additional fee on top of membership)

Honorary Life members. Shall be provided with a free membership following vote of full committee

Committee

  1. The Committee shall consist of Chairman, Honorary Secretary, Honorary Treasurer, Honorary Match Secretary, Honorary Membership Secretary and ten committee members, one of whom will be Vice Chairman, who are not elected officers of the club, voted in at the Annual General Meeting. The Committee shall have the power to co-opt a member to fill any vacancy that may occur at any time. Seven members of the Committee to form a Quorum.
  1. No officer or committee member of another fishing club can be elected as an officer or Committee member of the club (GDAA).
  1. Any committee member not attending three committee meetings, in a 12 month period, shall be liable to lose their status as a committee member by means of a majority Committee vote. Committee members unable to attend a committee meeting should provide apologies in advance of the meeting.
  1. Non-observance. The committee shall have full power to deal with all cases of non-observance of any of these rules, and may expel a member from the Association, and may reject application for membership or guest ticket if they think fit. No plea of ignorance will be accepted for the breaking of any rule.
  1. Any Committee member who may be deemed to have a vested interest in any     proposal brought before the committee shall declare that interest and be allowed to sit in on the discussion, but shall be barred from voting on that proposal.
  1. The Committee is empowered to introduce any fishery regulations it thinks necessary for the wellbeing of any Association water.
  1. Positions of President and Vice. President
  • The election of these positions will be subject to the majority vote of. The Committee, following nominations at the Annual General Meeting
  • The President and Vice President are entitled to attend Committee meetings, but do not have voting rights.

Roles of the Officers and Committee members are outlined in the Roles and Responsibilities paperwork for individual committee members but also:

  • To draft and display the clubs rules
  • To determine membership fees
  • To control the affairs of the club
  • To co-opt additional committee members as necessary
  • To make decisions based on a majority vote basis. In the case of no majority the Chairperson will have deciding vote. Such decisions may include the purchase, rental leasing of fisheries. Acquire any necessary equipment. Decide on fish purchases and sales.
  • To make decisions when additional/external funding may be required.
  • Do all things reasonably necessary to advance the purposes of the club and it’s members.

The committee will be the only authority for the interpretation of this constitution and the clubs rules. Decisions made on any interpretation of this constitution and / or rules and regulations of the club will be final. This constitution and the clubs rules and regulations will be reviewed as determined by the committee. Following review amendments will be made. Any changes will be disseminated to membership via social media and the clubs website.

The committee will meet on at least twelve occasions per calendar year.

Annual General Meeting

  1. The date and place of this will be determined.  All  members will be advised of the time and date of the Annual General Meeting. Members will be advised of the AGM date 14 days prior to the AGM taking place
  2. The officers and members of the committee will be determined at the Annual General Meeting. In preparation for this the officers and committee will be balloted on their wish to stand for a further 12 months, 4 weeks before the AGM. Their written or electronically generated response will be kept on file.
  3. The members will be advised 14 days prior to the AGM of any Committee or members proposals for the coming year.. Members proposals will be sent to Hon Secretary.
  4. The accidental ommission or non receipt of the AGM notice of date shall not invalidate the proceedings of the AGM.
  5. The AGM will consider the club accounts for the proceeding financial year will be presented to the membership for their vote of acceptance.

Extra Ordinary Meeting

  1. The Hon Secretary will upon written request by the President/ Vice President/Chairperson/other officers/committee member(s)arrange on Extra Ordinary meeting
  2. The requirement of and reason for this EGM will be conveyed to all members, as per an AGM.
  3. Voting on the matter o n EGM will be as if it were an AGM.

Alterations to the GDAA Constitutions;

  1. The constitution, rules and regulations of the club, and all other club activities shall be in accordance with the conditions and spirit of lease on the clubs waters
  2. Amendments/ changes to this constitution may only be made at the AGM and.must follow the process of the AGM.

Disciplinary

Any member whose conduct is considered to be inappropriate may be expelled or suspended from the club by the committee.  (Ref  Clubs Disciplinary proceedure.

Dissolution

If at an AGM a resolution is passed for dissolution of the club then

  1. The Hon Secretary will convene and Extra Ordinary Meeting
  2. If at the Extra Ordinary Meeting the resolution is carried by a majority then at that time or as detailed in the resolution the club shall proceed to realize it’s assets and discharge it’s liabilities
  • After discharging it’s debts and liabilities, the remaining assets will not be paid to or distributed among the members of the club but will be given or transferred to an appropriate handling association as seen on the Angling Trust website/or I no such entity  is agreed, then to the Angling Trust..
  1. In the event of a deficiency in the assets of the club, then a meeting with it’s creditors will be called and an agreement entered for the liquidation of the clubs assets on a pro rata basis.
  2. The Chairperson and not more than two committee members shall be appointed by the committee to function as a liquidation committee with full powers to act on behalf of the committee on the clubs dissolution proceedings.
